TERMS AND SERVICES
1. DEFINITIONS
- Charges: All fees invoiced by the service provider in consideration for the services.
- Applicable Laws: Any laws, rules, regulations, guidelines, or policies applicable to the agreement.
- Content: Any material sent by the client through the provider's platforms and services.
- Client: The legal entity entering into this agreement with the provider.
- Subcontractors: Third-party contractors, vendors, or consultants engaged by the client.
- Party/Parties: Refers individually to the client or provider and collectively to both.
- End User: Any third party receiving content from the client.
- Intellectual Property Rights: Includes patents, trademarks, copyrights, and other proprietary rights.
- Code of Practice: All applicable industry standards and regulations.
2. SERVICES PROVIDED
- Software development, IT consulting, enterprise solutions, and messaging services.
- Maintenance of adequate technical infrastructure to support agreed services.
3. CLIENT OBLIGATIONS
- Provide accurate and up-to-date information.
- Obtain necessary approvals and consents.
- Ensure data security and prevent transmission of malicious code.
- Ensure compliance with applicable laws.
- Not use services for unlawful activities.
4. TECHNICAL SUPPORT TERMS
- Provision of an administrative control panel for the client.
- 24/7 technical support based on agreed service terms.
5. MODIFICATION OF AGREEMENT & SERVICES
- Right to modify or discontinue services with prior notice.
6. DURATION AND TERMINATION
- Agreement can be terminated with prior notice.
7. DISCLAIMER OF WARRANTIES
- Services provided on an "as-is" basis.
- No guarantee of uninterrupted or error-free service.
8. INTELLECTUAL PROPERTY
- All proprietary rights remain with the service provider.
- Clients cannot copy or distribute intellectual property without consent.
9. LIABILITY
- Provider is not liable for indirect damages.
10. CONFIDENTIALITY
- Both parties maintain confidentiality of sensitive business information.
11. GOVERNING LAW AND DISPUTE RESOLUTION
- Agreement governed by Indian law.
- Disputes resolved through arbitration.
